1. Website Purpose

The Website provides general information about CHA and its healthcare analytics and advisory services. It is intended primarily for business representatives evaluating potential services or seeking general information.

The Website is not a patient portal, healthcare service, medical device, clinical decision-support system, health plan, emergency service, or substitute for professional advice. Website content may be changed or withdrawn without notice and does not constitute a commitment to provide any service on any particular scope, schedule, price, or commercial term.

2. No Client Relationship or Engagement

Accessing the Website, sending an email, scheduling a meeting, or discussing a potential project does not create a client, fiduciary, advisory, business-associate, or other professional relationship with CHA.

CHA provides consulting or analytics services only under a separate written agreement signed by authorized representatives. That agreement may include a statement of work, fees, deliverables, assumptions, client responsibilities, confidentiality terms, data-use restrictions, security requirements, a BAA, and other engagement-specific provisions. If these Terms conflict with a signed client agreement concerning the services covered by that agreement, the signed client agreement controls.

3. No Professional Advice

Nothing on the Website constitutes actuarial, legal, clinical, medical, accounting, tax, investment, compliance, coding, reimbursement, or other regulated professional advice. You should obtain advice from appropriately qualified professionals for decisions requiring that expertise.

Website content should not be used to diagnose or treat a condition, direct patient care, determine medical necessity, submit or alter a claim, change coding or documentation, make a coverage decision, satisfy a regulatory obligation, or replace independent professional judgment.

4. Analytical and Financial Information; No Guarantee of Results

Descriptions of analytical methods, opportunities, financial relevance, or potential business impact are general and may be illustrative. Actual findings and outcomes depend on factors including data completeness and quality, claims runout, attribution, contract language, benchmarks, assumptions, clinical and operational feasibility, implementation, and client validation.

CHA does not guarantee savings, revenue, shared savings, reimbursement, risk-score improvement, return on investment, clinical outcomes, regulatory results, or any other performance outcome.

Illustrative tables, charts, scenarios, examples, and fictional demonstrations on the Website do not contain client data and do not represent actual client results unless expressly identified otherwise. You may not present illustrative materials as verified client evidence.

5. No Submission of PHI or Sensitive Information

The Website does not provide an approved channel for PHI, patient- or member-identifiable information, claims files, medical records, credentials, passwords, or other sensitive client data.

Do not transmit such information through the Website, ordinary email, Calendly, LinkedIn, or another public or consumer communication channel. If a potential engagement requires sensitive information, the parties must first establish an approved transfer method and appropriate written terms, which may include a BAA.

You are responsible for ensuring that you have the authority and any required permission to provide information to CHA.

6. Permitted Use

Subject to these Terms, CHA grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for lawful internal business and informational purposes.

You may not:

• use the Website in violation of applicable law or another person's rights;
• attempt to gain unauthorized access to the Website, its systems, or related networks;
• interfere with Website operation, security, availability, or performance;
• introduce malware, harmful code, automated attacks, or abusive traffic;
• bypass access controls or security measures;
• scrape, crawl, harvest, index, or extract Website content through automated means except as permitted by a standard search-engine protocol or CHA's written authorization;
• use Website content, branding, or materials to train, fine-tune, evaluate, or supply a machine-learning or generative-AI system without CHA's written permission;
• impersonate CHA or falsely imply affiliation, endorsement, certification, partnership, or client status;
• remove copyright, trademark, attribution, or proprietary notices;
• reproduce, modify, distribute, sell, sublicense, publish, or commercially exploit Website content except with CHA's prior written permission; or
• use the Website to transmit unlawful, infringing, misleading, harmful, or sensitive information.

CHA may restrict or terminate access when it reasonably believes the Website has been misused.

7. Intellectual Property

The Website and its content—including text, graphics, branding, logos, designs, photographs, illustrations, tables, demonstrations, downloads, and the selection and arrangement of materials—are owned by CHA or its licensors and are protected by intellectual-property laws.

"Conult Health Analytics," "CHA," associated logos, service names, and other source identifiers are trademarks or trade names of CHA. No right to use them is granted except as expressly stated in these Terms.

Any permission to use Website material must be obtained in writing. All rights not expressly granted are reserved.

8. Third-Party Services and Links

The Website may link to services operated by third parties, including Calendly and LinkedIn. Third-party services are governed by their own terms and privacy practices. CHA does not control and is not responsible for third-party content, availability, security, or practices.

A link does not imply endorsement, partnership, or responsibility unless CHA expressly states otherwise. You use third-party services at your own discretion and risk.

9. Privacy

CHA's Privacy Policy describes how personal information is handled in connection with the Website and business-development interactions initiated through it. By using the Website, you acknowledge that you have had an opportunity to review the Privacy Policy.

10. Website Availability and Changes

CHA may modify, suspend, restrict, or discontinue any part of the Website at any time. CHA is not responsible for interruptions, delays, errors, lost content, compatibility problems, or security incidents outside its reasonable control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL WEBSITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." CHA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND RESULTS.

CHA DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, CURRENT, OR SUITABLE FOR A PARTICULAR DECISION OR USE.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHA AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, ADVISERS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS OR (B) THE AMOUNT YOU PAID CHA SPECIFICALLY FOR ACCESS TO THE WEBSITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot lawfully be limited or excluded. Liability arising from a signed client engagement is governed by the applicable client agreement, not this Website limitation.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless CHA and its owners, officers, directors, employees, contractors, advisers, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising from your unlawful or unauthorized use of the Website, your material violation of these Terms, or your infringement of another person's rights.

CHA may control the defense of a matter subject to indemnification, and you agree to reasonably cooperate. This section does not require you to indemnify CHA for conduct for which indemnification is prohibited by law.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to any law that provides otherwise, any dispute relating exclusively to the Website or these Terms must be brought in the state or federal courts located in the State of Delaware, and each party consents to their personal jurisdiction and venue.

This section does not modify the governing-law, dispute-resolution, or venue provisions of a signed client agreement.

15. General Terms

If a provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

CHA's failure to enforce a provision is not a waiver. You may not assign rights or obligations under these Terms without CHA's written consent. CHA may assign these Terms in connection with a reorganization, financing, merger, acquisition, sale of assets, or operation of the Website.

These Terms and the Privacy Policy constitute the entire agreement between you and CHA concerning use of the public Website, but they do not replace or modify a signed client agreement.
